Job Description
Our client is seeking a Senior Associate or Counsel-level Corporate Attorney to join its growing Corporate Practice. This opportunity is ideal for an attorney with significant middle-market M&A experience who enjoys leading sophisticated transactions and serving as a trusted advisor to private companies, founders, family-owned businesses, and private equity clients.
The ideal candidate is confident managing transactions independently, providing practical business-oriented legal advice, and working directly with clients throughout the entire deal lifecycle.
Responsibilities
- Lead and manage middle-market mergers, acquisitions, divestitures, and other strategic corporate transactions from inception through closing.
- Conduct and oversee legal due diligence, identify transaction risks, and provide strategic recommendations.
- Draft, review, and negotiate purchase agreements, disclosure schedules, and ancillary transaction documents.
- Structure transactions and advise clients on legal and business considerations to achieve their strategic objectives.
- Coordinate all aspects of transaction execution, including closing deliverables and post-closing matters.
- Serve as a trusted advisor to private companies, founders, family-owned businesses, and private equity firms on a variety of corporate matters.
- Collaborate with clients, opposing counsel, lenders, accountants, and other advisors to facilitate efficient and successful transactions.
- Mentor junior attorneys and contribute to the continued growth of the firm's corporate practice, as appropriate.
Qualifications
- J.D. from an accredited law school and active bar admission in good standing.
- Approximately 7โ20+ years of corporate law experience, with a strong emphasis on middle-market M&A transactions.
- Demonstrated ability to independently manage sophisticated M&A transactions from start to finish.
- Extensive experience drafting and negotiating purchase agreements and other transaction documents.
- Experience representing private companies, founders, family-owned businesses, and/or private equity clients.
- Excellent analytical, negotiation, communication, and client relationship management skills.
- Ability to manage multiple matters in a fast-paced, collaborative environment.
