A Global pharmaceutical enterprise operating in over 100 countries, known for its extensive global presence and research-driven focus across key therapeutic areas is seeking to fill the position of Independant Director
Role
The Independent Director will provide objective judgement, independent oversight and strategic guidance to the Board. The role calls for an experienced business leader who can constructively challenge management, bring diverse perspectives to Board deliberations, and uphold high standards of corporate governance, ethics and integrity — acting in the long-term interests of the Company and all stakeholders.
Key Responsibilities
• Provide independent perspective on the Company's long-term strategy, business performance and growth plans; constructively challenge management on major decisions and investments.
• Oversee governance, risk management, internal controls and regulatory/financial compliance.
• Serve on Board Committees (e.g. Audit, Nomination & Remuneration, Risk Management, Stakeholders' Relationship) as assigned.
• Review executive performance, succession planning and remuneration philosophy.
• Safeguard the interests of all shareholders (including minority shareholders) and other key stakeholders.
Candidate Profile
Education
• Graduate degree required; postgraduate, professional or management qualification preferred.
Experience
• Significant senior leadership experience as a Director, CXO or equivalent in a listed company, multinational, or other complex enterprise.
• Demonstrated experience in corporate governance, business strategy and Board oversight.
• Strong commercial and financial acumen — able to review financial statements, strategic investments and major transactions.
• Good understanding of regulatory frameworks, corporate governance requirements and the Indian business environment.
• Prior Board experience with a listed company preferred; Board Committee experience with a top-500 listed company is a plus.
