Lateral Associate Attorney – Sponsor Finance (3rd–5th Year)

A leading global highly ranked law firm is seeking a 3rd-5th year Lateral Associate Attorney to join its Sponsor Finance Team. This is a high-impact role for attorneys with experience representing financial institutions, debt funds, and multi-lender syndicates in complex financing transactions.

Responsibilities

• Represent lenders in structuring, negotiating, and documenting secured and unsecured credit facilities, including cash flow and asset-based loans.
• Advise on sponsor-backed leveraged buyouts and multi-tranche debt structures, including second lien, mezzanine, and unitranche facilities.
• Draft and negotiate intercreditor and subordination agreements.
• Support cross-border and domestic financing transactions across a range of industries.
• Collaborate with internal teams and clients to manage deal execution and ensure regulatory compliance.

Qualifications

• JD from a top-tier law school.
• 3–5 years of experience in lender-side representation at a major law firm.
• Strong background in syndicated finance transactions and sponsor-backed deals.
• Experience with complex capital structures and intercreditor arrangements.
• Excellent drafting, negotiation, and client service skills.
• Admission to the bar in the jurisdiction of practice or eligibility to waive in.
