About the Role


Transaction Structuring & Execution

  • Lead legal advisory for the investment team on regulatory and capital markets matters, including structuring of transactions (FIDCs, Debentures, etc.), overseeing legal due diligence on investee entities, and providing opinions on commercial and legal risks.
  • Lead active participation in the design of credit products and the structuring of their respective contractual documentation, including the definition of commercial terms and roles and responsibilities with third parties involved.

Due Diligence & Document Validation

  • Conduct and oversee legal due diligence on investee entities and transaction counterparties, coordinating the work of junior members on the deal team.
  • Supervise, validate, and approve all external legal documents related to transactions, as well as legal opinions and memoranda, taking responsibility for the quality and accuracy of the material.

External Relationship Management

  • Manage relationships with external legal advisors, fund administrators, fund managers and any other partner from a legal perspective, including selection, fee negotiation, and performance evaluation, aiming to optimize costs and ensure service excellence.

Policy, Playbooks & Training

  • Draft and review corporate policies;
  • Develop playbooks on legal execution and conduct in-house learning sessions;
  • Develop junior team members.



Requirements


  • 9 to 13 years of experience in capital markets and legal structuring of credit products (FIDCs, Debentures), including prior experience as in-house counsel, at a top law firm, or with a fund manager/administrator;
  • Bachelor's degree in Law (LL.B.) with active OAB registration;
  • Fluency in both Portuguese and English;
  • Experience leading legal due diligence processes on investee entities and counterparties;
  • Experience structuring credit products and drafting core contractual documentation;
  • Capability to review, validate, and approve external transaction documents, legal opinions, and memoranda covering commercial and regulatory risks;
  • Experience drafting corporate policies, creating legal execution playbooks, and conducting in-house training sessions;
  • Demonstrated ability to manage relationships with external partners, including selecting, negotiating fees, and evaluating the performance of law firms, fund administrators, and fund managers.
