Job Description
We are seeking an experienced and proactive Manager β Legal, Compliance & Secretarial to lead the organization's legal, regulatory, compliance, and corporate governance functions. The role requires a strong understanding of FMCG, Beauty & Personal Care (BPC), consumer products, or D2C business environments and the ability to provide practical legal solutions that support business growth while ensuring regulatory compliance. The incumbent will work closely with leadership teams, external advisors, regulatory authorities, and cross-functional stakeholders to safeguard the company's legal interests and maintain high standards of corporate governance.
Key Responsibilities 1. Contract Management & Commercial Legal Support Draft, review, negotiate, and manage a wide range of commercial agreements including: Vendor and supplier agreements Distribution and channel partner agreements Marketing and influencer agreements Employment and consultancy contracts Lease agreements Non-Disclosure Agreements (NDAs) Service and technology agreements Provide legal support to business teams on commercial and operational matters. Identify and mitigate contractual and business risks. 2.
Regulatory Compliance & Governance Ensure compliance with applicable laws and regulations including: Legal Metrology Act and Rules Drugs & Cosmetics Act and Rules Consumer Protection Act DPDP Act and related data privacy requirements BIS standards and regulations ASCI Advertising Code and marketing compliance Environmental laws including Plastic Waste Management Rules Shops & Establishment Act and other labour-related compliances Monitor regulatory developments and advise management on compliance requirements. Ensure timely renewal of licenses, registrations, permits, and statutory filings. 3. Legal Advisory & Risk Management Provide practical legal guidance to management and business teams.
Conduct legal research and evaluate regulatory implications of new business initiatives. Support strategic projects, partnerships, product launches, and business expansion activities. Develop and implement legal risk mitigation frameworks. 4.
Litigation & Intellectual Property Management Manage litigation, disputes, legal notices, and regulatory proceedings. Coordinate with external counsels and monitor ongoing matters. Draft responses to legal notices and regulatory communications.
Manage trademark filings, renewals, oppositions, and enforcement actions. Support protection and commercialization of intellectual property assets. 5. Secretarial & Corporate Compliance Support corporate governance and secretarial compliance requirements.
Coordinate Board Meetings and Committee Meetings. Prepare agendas, minutes, resolutions, and statutory records. Ensure timely filing of statutory forms and returns.
Maintain statutory registers and corporate records. Support CSR-related compliance and reporting requirements. 6. Compliance Monitoring & Reporting Maintain legal, compliance, and litigation trackers.
Conduct periodic compliance reviews and audits. Prepare management reports and highlight compliance risks and gaps. Ensure audit readiness and proper documentation of legal records.
Candidate Profile Qualifications LL.B. from a recognized university (Mandatory) Company Secretary (CS) qualification preferred Experience 5β8 years of post-qualification experience in Legal, Compliance, and Corporate Governance. Prior experience in FMCG, Beauty & Personal Care, Consumer Products, Retail, Manufacturing, or D2C organizations preferred. Experience handling contracts, regulatory compliance, litigation management, and corporate secretarial matters.
Key Skills Strong knowledge of corporate, commercial, regulatory, and intellectual property laws. Excellent contract drafting and negotiation skills. Strong understanding of compliance management and risk assessment.
Effective stakeholder management and communication skills. Ability to work independently in a fast-paced and evolving business environment. Strong analytical, organizational, and problem-solving capabilities.
