Our Client

A well-established Canadian organization with a growing international presence.

Principal tasks and responsibilities include:

  • Review, draft and negotiate a variety of commercial agreements including MSAs, NDAs, Statements of Work, vendor agreements, technology agreements, SaaS agreements and related commercial contracts.
  • Support the development, implementation and continuous improvement of the organization's compliance, governance and risk management framework.
  • Collaborate with Legal, HR, IT, Finance and business leaders to provide practical legal guidance and manage legal and compliance risks.
  • Assist with compliance investigations, policy development, governance initiatives, employee training and internal reporting.
  • Participate in privacy, data protection, cybersecurity and vendor risk reviews while supporting organization-wide legal and compliance initiatives.
  • As responsibilities expand over time, the successful candidate will gain exposure across commercial law, compliance, governance, privacy, internal investigations and audit functions while working closely with senior leadership.

Qualifications and pre-requisites:

  • Juris Doctor (JD) or Bachelor of Laws (LLB) with membership in a Canadian Law Society (or equivalent international qualification considered).
  • Approximately 4- 6 years of experience in commercial law, corporate law, compliance or related in-house legal functions.
  • Experience reviewing and negotiating commercial agreements including vendor agreements, technology agreements, SaaS agreements, NDAs and service agreements.
  • Understanding of commercial risk allocation, liability provisions, indemnities and contract negotiation.
  • Exposure to compliance, governance, privacy, regulatory or risk management initiatives is considered an asset.
  • Excellent legal drafting, analytical and problem-solving skills.
  • Strong written and verbal communication skills with the ability to build relationships across multiple business functions.
  • Ability to work independently while managing competing priorities in a fast-paced environment.
  • Strong initiative, curiosity, sound judgment and a desire to learn across multiple areas of legal practice.
  • Teamwork, collaboration and a continuous improvement mindset.
