Corporate Governance Manager Hybrid - 2 days on site in Leeds Competitive Salary and great benefits A leading UK pensions provider is seeking an experienced Corporate Governance Manager to support and strengthen governance across the organisation. This is a senior role working closely with the Board, Non-Executive Directors, and Executive team to ensure compliance with statutory and regulatory requirements, and to promote effective, transparent governance practices. Key Responsibilities: Maintain statutory records and ensure timely filings with Companies House Advise senior stakeholders on governance and regulatory matters Lead preparation of Strategic and Directors’ Reports in line with the Companies Act 2006 Ensure compliance with FCA and pensions regulatory requirements Review and enhance governance frameworks, policies, and procedures Support Board and committee operations, including agendas, papers, minutes, and actions Manage AGM processes and shareholder communications Lead Board effectiveness reviews, NED appraisals, recruitment, and succession planning Oversee governance systems, including board portals Manage and develop the governance team, providing leadership and support Requirements: Proven experience in corporate governance, company secretarial, or regulatory roles Strong knowledge of UK governance frameworks and regulatory expectations Experience working with Boards and senior stakeholders Excellent written and verbal communication skills Ability to manage multiple priorities and lead process improvements Experience managing or mentoring a team preferred This role offers the opportunity to contribute at a senior level within a purpose-driven organisation, influencing governance standards and supporting effective decision-making at the highest level.
