About the role

We are looking for a proactive, reliable Corporate Secretary to support our Executive Committee.

What you'll do

  • Attend the EC meetings in a Corporate Secretary capacity and prepare accurate minutes and records of decisions and actions
  • Maintain and manage the EC’s open action item list, including documenting agreed actions, setting deadlines and following up with responsible stakeholders
  • Organize and coordinate the issuance of EC circular resolutions
  • Support management and internal stakeholders by providing confirmation of previous EC discussions, decisions and approvals
  • Liaise with senior management and stakeholders across the organization to ensure accurate documentation and effective follow-up of EC matters
  • Support in case of internal and external audit requests directed to EC minutes, materials or governance related topics
  • Assure that location/entity managers are informed on relevant topics discussed and decided in the EC. Interact with location managers on those topics.
  • Drive and coordinate Policy Management (including central oversight over group policies, responsible for Policy Management Framework, ensuring annual policy reviews and adherence to approval process, company-wide quality of content and structure of policies, advise and support policy owners when drafting and reviewing policies, annexes etc., ensure adequate policy distribution and communication).

What you'll need

  • Bachelor’s degree or equivalent in (business) law, business administration or similar
  • Fluency in English
  • Exceptional attention to detail and thorough execution skills; highly organized to meet competing deadlines; high level of discretion and professionalism
  • Strong communication skills and ability to interact and liaise with stakeholders
  • Solution- and service-oriented personality, eager to learn and keen to take ownership and be part of a dynamic team
  • Understanding of corporate governance matters and/or willingness to learn

Nice to have

  • Knowledge of Swiss corporate law
